Real Estate Structuring & Re-Structuring

We specialise in providing comprehensive real estate structuring and restructuring legal services tailored to meet the needs of our clients and their real estate assets and investment vehicles (usually companies). The structuring of real estate assets can be a short term requirement, for example, in relation to a potential development which will be sold once it has completed, or it could be a long term requirement, to provide for future generations. We often work closely alongside our clients (and their senior executives), tax advisors, accountants, lenders, landlords, surveyors/valuers and agents in order to achieve our clients’ desired goals.

 

Structuring of real estate assets often involves the following:

     

  • Finance / Re-finance. Clients often look to refinance portfolios on a regular basis, seeking to achieve better terms, or borrow more, to allow for further investment. It is also not uncommon for many lenders and especially private banks to lend money on a short to medium term basis which means clients will need to re-finance at the end of the term with the same or different lender

  • Acquisitions and Disposals: Acquisitions and disposals require structuring in order to make the deals happen, in order to minimize risk and maximize the reward for the client. This is especially so when the deals are of higher value, complicated or involve numerous assets.

  • Corporate Restructuring: It is not uncommon, especially as real estate holdings grow, for clients to reorganize their corporate structures to enhance both operational and tax efficiency. Also, sometimes restructures are necessary in order to safeguard certain assets or projects.

  • Joint Ventures and Partnerships: Many clients who enter into join ventures / partnerships to invest in or develop real estate require the deals to be structures properly and this includes having all necessary documents in place to protect all parties and ensure parity.

  • Inheritance Planning: Most prudent clients wish to provide for longevity and future generations. This involves careful planning and structure in order to protect the assets themselves and ensure efficiency.
